Terms of Service

These terms of use (“Agreement”) are between Gleason Group, Inc doing business as GGILabs, a company with its principal place of business at 5033 Davis Drive, Doylestown, PA 18902 (“GGILabs”, “we” or “our”) and you and govern your use of the GGILabs Platform and access to the Services.

In this Agreement, the defined terms listed below shall have the following meanings:

Definitions

  • Additional Subscription Period(s) – The time period(s) for which you continue to subscribe for Services after your Minimum Term has expired, and which shall have the same duration as your Minimum Term.
  • Affiliates – Any entity that directly or indirectly controls, is controlled by, or is under common control with another entity.
  • Company Website – A website that promotes your services and may be licensed to you by GGILabs as part of the Paid For Services.
  • Data Protection Laws – All applicable laws and regulations governing the use or processing of personal data, including U.S. federal and state laws, and international laws such as GDPR.
  • Domain Name – Any domain name that may be offered to you as part of the Services.
  • Intellectual Property Rights – Patents, rights to inventions, copyright and related rights, trademarks, business names, domain names, rights in software, database rights, trade secrets, and all other intellectual property rights, whether registered or unregistered.
  • Leads – Any third-party who contacts you as a result of the Services by any channel, including but not limited to, telephone calls, SMS, emails, and booking requests.
  • Minimum Term – The minimum length of time that you have agreed to purchase the Services as set out in the Order Summary.
  • Subscription Period(s) – Your Services will continue on a rolling monthly basis after the Minimum Term unless canceled per clause 1.4.
  • Order Summary – The summary emailed to you, detailing your package, pricing, Start Date, and Minimum Term.
  • Other Digital Accounts – Any third-party accounts managed by GGILabs as part of the Services, including but not limited to Google My Business, Facebook, Google Ads, and Bing Ads.
  • Services – Any services provided by GGILabs, as outlined in your Order Summary, including website hosting, content creation, and advertising campaign management.
  • Referral Credit – Credit applied to your account for referring third-parties who sign up for the Services.
  • Service Provider – A third-party business promoting its services on the GGILabs Platform.
  • Setup Fee – The one-time fee for GGILabs to build a website.
  • Start Date – The date your Services begin, as stated in the Order Summary.
  • GGILabs Platform – The technology platform owned by GGILabs that manages GGILabs-hosted websites and applications.
  • User Data – Personal data collected on the GGILabs Platform from end users.

1. Services

1.1 GGILabs agrees to provide the Services per your Order Summary. 1.2 You agree to pay for the Services as specified in the Order Summary. Annual plans will automatically renew unless canceled before the renewal date. 1.3 Services renew automatically at the end of the Minimum Term unless canceled as per clause 1.4. 1.4 You may cancel or downgrade Services at the end of the Minimum Term or any Additional Subscription Period but not before. 1.5 Additional Services or upgrades can be added via your GGILabs Business Hub. 1.6 Prices may be adjusted after the Minimum Term with one month’s notice. 1.7 Referral Credits are applied to the next Subscription Period and expire if Services are canceled before application. 1.8 Payments are processed by third-party processors such as PayPal and Stripe. You authorize them to store and bill your provided payment information. 1.9 Failure to pay will result in the full Minimum Term amount becoming due immediately, and Services may be suspended. 1.10 Prices are exclusive of sales taxes. 1.11 GGILabs may modify Services; if changes significantly reduce functionality, you may cancel within 30 days of notice. 1.12 The Start Date is the order placement date, and payments are due from that date. 1.13 Invoices are stored on GGILabs.com and accessible via your Business Hub. 1.14 Promotional offers are subject to specific payment terms and may be withdrawn without notice. 1.15 GGILabs cannot guarantee domain name availability. Renewal fees must be paid promptly to retain a domain name. 1.16 A 30-day Money Back Guarantee applies to new customers, commencing on the Setup Fee payment date. See Refund Policy in Section 11.

2. License

2.1 You grant GGILabs a license to use content uploaded to the GGILabs Platform or provided from other digital accounts for the purpose of delivering the Services. 2.2 If paying for Services, GGILabs may manage Other Digital Accounts on your behalf. 2.3 GGILabs licenses you a Company Website and Domain Name, subject to ongoing payments. 2.4 Listings information must be accurate and comply with all applicable laws.

3. Warranties

3.1 You warrant that:

  • You are at least 18 years old and legally authorized to enter this Agreement.
  • You will not interfere with the GGILabs Platform.
  • Your content and domain usage comply with laws and third-party rights.
  • You will comply with data protection laws regarding User Data.

4. Indemnity

4.1 You agree to indemnify GGILabs from claims, damages, and legal fees arising from your use of the Services or violation of this Agreement.

5. Disclaimer

5.1 GGILabs disclaims warranties of merchantability and fitness for a particular purpose. 5.2 GGILabs does not guarantee uninterrupted operation of the Platform. 5.3 GGILabs is not responsible for third-party content or external websites. 5.4 You assume risk for using third-party services linked from GGILabs.

6. Limitation of Liability

6.1 GGILabs’s liability is limited to the amount paid by you for Services in the past 12 months.

7. Booking Services

7.1 If you book a service through the GGILabs Platform, your details are shared with the Service Provider. 7.2 GGILabs is not responsible for any agreements between you and the Service Provider.

8. Data Protection

8.1 User Data is managed according to our Privacy Policy.

9. Termination

9.1 Either party may terminate this Agreement with one month’s notice after the Minimum Term. 9.2 GGILabs may terminate immediately for policy violations or insolvency. 9.3 Upon termination, access to Services, Company Website, and Domain Name ceases.

10. Miscellaneous

10.1 GGILabs may update this Agreement at any time, with material changes notified by email. 10.2 This Agreement supersedes prior agreements. 10.3 Disputes are governed by Pennsylvania law and subject to Pennsylvania courts.

11. Refund Policy

11.1 New customers may request a refund within 30 days of Setup Fee payment. 11.2 Failure to complete onboarding does not extend the refund period. 11.3 No refunds are available after the 30-day period. 11.4 Delayed website delivery may extend the refund period accordingly.
